Client & job details

The total from your written estimate.

This Agreement is between Black Stallion Land Clearing LLC, P.O. Box 154303, Waco, TX 76705, (832) 956-9775, bslcllc@blackstallionlandclearingllc.com ("Contractor") and the property owner or authorized representative named below ("Client"). It covers the land clearing work at the property listed below (the "Property").

1. Work to be performed

Contractor will perform the work described in this Agreement and in Contractor's written estimate for the Property (the "Work"). Any work outside that description must be approved by Client before it is done and will be billed at a price agreed in writing (a "change order"). A text message or email from Client approving a change order is acceptable.

2. Price, 10% deposit and payment

Upon signed agreement, a deposit of ten percent (10%) of the Total Price is due at signing. The Work will not be scheduled until the deposit is received. The deposit is credited toward the Total Price on the final invoice.

The remaining balance, plus any approved change orders and any amounts owed under Section 5, is due when the Work is complete. Contractor accepts card payments through its secure online payment page, as well as check and other methods Contractor agrees to.

Balances not paid within thirty (30) days of the invoice date accrue interest at 1.5% per month or the highest rate allowed by law, whichever is lower. Client agrees to pay reasonable costs of collecting unpaid amounts, including attorney's fees and court costs.

3. Scheduling, cancellation and refunds

Client may cancel by written notice (text or email is acceptable) at least seventy-two (72) hours before the scheduled start date and receive a refund of the deposit, less any costs Contractor has already incurred for the job. If Client cancels later than that, or is not ready on the start date (for example, the Property is not accessible or hazards have not been removed as required in Section 5), the deposit is non-refundable and Contractor may charge a reasonable fee to move equipment to and from the Property again.

If Contractor cancels and cannot reschedule on a date acceptable to Client, Contractor will refund the full deposit.

If this Agreement is signed at Client's home and is a consumer transaction, Client may also cancel without any penalty or obligation within three (3) business days after signing, and the full deposit will be returned within ten (10) business days.

4. Client's responsibilities

Client states that Client owns the Property or has the legal authority to authorize the Work, and that Client has obtained any permits, HOA approvals or landowner consents required.

  • Boundaries. Client must show Contractor the property lines and the exact area to be cleared, and mark any trees, plants or structures to be saved. Contractor relies on Client's information and is not responsible for clearing done in an area Client identified, or for boundary disputes with neighbors.
  • Underground lines. Contractor will request public utility locates through Texas 811 before any digging or stump work below the ground. Private lines are not marked by 811. Client must mark or disclose all private underground items, including septic tanks and lines, water lines, wells, irrigation, propane lines and electric lines to outbuildings.
  • Access. Client must provide safe access for a truck, trailer and tracked equipment, and keep people, children, pets and livestock away from the work area while equipment is running.

5. Site hazards and damage to Contractor's equipment — read carefully

Contractor's equipment, including its compact track loader (skid steer), forestry mulcher, grapple bucket, tracks, mulcher teeth, hoses, hydraulics and other attachments (the "Equipment"), can be badly damaged by hidden or buried objects.

(a) Client must clear the property before work begins. Before the start date, Client must remove from the work area, or clearly mark and tell Contractor in writing about, every object that could damage the Equipment, including:

  • Metal of any kind: T-posts, fence posts, barbed or woven wire, cable, rebar, pipe, stakes, scrap metal, tanks, drums, old vehicles, machinery or appliances
  • Stumps cut high or hidden in brush, concrete, brick, rock piles and large stones
  • Old foundations, buried trash, dump sites and other buried debris
  • Well casings, septic parts, survey pins and any private underground lines

(b) Client is legally and financially responsible for equipment damage. Client accepts full legal responsibility for, and agrees to pay for, any damage to the Equipment caused by any object described above, or any other hidden, buried or undisclosed hazard on the Property, whether or not Client knew the object was there.

(c) What Client will pay. The cost of repair parts and labor, replacement of damaged parts and mulcher teeth, towing or hauling the Equipment, and the reasonable cost of renting replacement equipment while the Equipment is being repaired.

(d) How damage is handled. If damage happens, Contractor will stop work, photograph the object and the damage, and give Client an itemized statement with receipts. Client agrees to pay the statement within thirty (30) days, and Contractor may add it to the final invoice. Section 2 (interest and collection costs) applies to unpaid amounts.

(e) Exceptions. Client is not responsible for normal wear and tear, or for damage caused only by Contractor's own negligence.

(f) Damage to hidden items. Contractor is not responsible for damage to any object or underground line that was not removed, marked or disclosed as required above.

6. Results and site conditions

Unless the estimate says otherwise, mulch and ground-up material stay on the Property. Tracked equipment will disturb the ground, and wet conditions can leave ruts. Contractor is not responsible for regrowth, erosion, changes in drainage, soil settling or damage to grass, driveways or roads used for access, except damage caused by Contractor's negligence. Contractor will use reasonable care around trees and items Client has marked to save.

7. Weather and delays

Start and finish dates are estimates. Contractor may delay or stop work because of rain, wet ground, burn bans, fire danger, equipment breakdown or other conditions outside its control, and will reschedule as soon as practical. These delays are not a breach of this Agreement.

8. Limit of liability

Except for damage caused by Contractor's negligence, Contractor's total liability under this Agreement is limited to the amount Client has paid for the Work. Neither party is liable to the other for lost profits or other indirect damages.

9. Legal terms

This Agreement is governed by the laws of the State of Texas. Any lawsuit about this Agreement will be filed in McLennan County, Texas, unless the law requires otherwise. The party that wins a dispute is entitled to recover reasonable attorney's fees and costs. If any part of this Agreement is found unenforceable, the rest remains in effect. This Agreement, together with Contractor's written estimate and any written change orders, is the entire agreement between the parties.

The parties agree that this Agreement may be signed electronically, and that an electronic signature or typed initials have the same legal effect as a handwritten signature.
